PREAMBULE

La société Obviously France propose des campagnes de marketing d’influence pour ses entreprises clientes par l’usage des réseaux sociaux de l’Internet (Instagram, Facebook, Twitter, Snapchat, LinkedIn, Pinterest,  Youtube, TikTok, Twitch notamment).

Le site internet dénommé « Obviously Studio », accessible à l’adresse URL www.studio.obvious.ly, propose à des influenceurs, connus pour produire et diffuser différents types de contenus sur ces réseaux sociaux, un service de mise en relation avec les entreprises clientes de la société Obviously France.

Les présentes constituent le socle contractuel de la relation entre la société Obviously France et l’influenceur inscrit sur le site www.studio.obvious.ly :

  • sur l’usage de ce service de mise en relation via le site ;

  • en cas d’acceptation par cet influenceur (le mécanisme sera décrit ci-après) de prestations de création et de diffusion de contenus dans le cadre des campagnes de marketing d’influence des entreprises clientes de la société Obviously France.

Elles pourront être complétées au-fur-et-à-mesure par des « Offres » valant conditions particulières, comportant le descriptif des prestations sollicitées auprès de l’influenceur.

Cette colonne présente les explications de chaque section en langage clair. Veuillez noter que ces explications ne sont pas elles-mêmes contraignantes sur le plan juridique et n’affectent pas l'interprétation des termes figurant dans la colonne de gauche.

Ces Conditions Générales vous lient à notre société concernant l’utilisation du service de mise en relation avec nos entreprises clientes tel que proposé par notre site internet, et constituent le socle de votre relation avec notre société à compter du jour où vous accepterez d’effectuer des prestations de création et de diffusion de contenus pour la campagne de nos clients.

Le descriptif des prestations à effectuer vous sera soumis par l’envoi d’une Offre spécifique pour chaque campagne de nos clients.

  1. Définitions.

Dans les présentes conditions générales de service et de partenariat (ci-après les « Conditions Générales »), les termes commençant par une majuscule auront la signification suivante :

Les éléments de définition ci-contre vous permettent de comprendre clairement les notions introduites dans ces Conditions Générales.

  1. Campagne : désigne une campagne de marketing d’influence proposée par un Client à un Influenceur par l’intermédiaire de la Société/du Service.
  2. Client : désigne une entreprise cliente de la Société qui propose une campagne de marketing d’influence pour le compte de sa marque, ses produits ou services, et souhaite qu’une communication soit effectuée par l’intermédiaire du Service et donc des Influenceurs.
  3. Compte : désigne l’espace accessible depuis le Site que tout Influenceur a consenti à créer pour accéder au Service.
  4. Contenu : désigne tout contenu, quelle que soit sa nature (texte, image, photographie, vidéo, mise en scène, etc.), créé, développé ou mis à disposition par un Influenceur à la demande d’un Client pour les besoins de la réalisation d’une Campagne, dans les conditions décrites  sur une Offre.
  5. Eléments de la personnalité : l’image et/ou la voix et/ou le prénom et/ou le nom patronymique et/ou le pseudonyme et/ou la signature et/ou la silhouette de l’Influenceur, ensemble ou séparément.
  6. Offre : désigne le cahier des charges rédigé par le Client afin de présenter et de détailler à l’Influenceur les Prestations à effectuer dans le cadre de chaque Campagne ; l’Offre fait partie du périmètre contractuel et vaut conditions particulières des présentes.
  7. Influenceur : désigne la personne physique ou morale présente sur les réseaux sociaux et ayant accepté de créer un Compte sur le Site ou toute personne mineure dument représentée par elle dans le cadre de la participation des membres de la famille à la campagne digitale et destinée à ne figurer que sur les réseaux de l’Influenceur.
  8. Prestations : désigne les prestations qui seront mises à la charge de l’Influenceur et aussi. ceux représentés par elle (les mineurs), via la Société, dans le cadre de la Campagne d’un Client, et qui seront spécifiées dans l’Offre.
  9. Réseaux Sociaux : désigne les réseaux sociaux (Instagram, Facebook, Twitter, Snapchat, LinkedIn, Pinterest,  Youtube, TikTok, Twitch notamment) dont l’Influenceur est membre et sur lesquels il a la possibilité de mettre en avant les Contenus.
  10. Service : désigne le service de mise en relation proposé par la Société aux Influenceurs par le biais du Site.
  11. Site : désigne le site internet accessible depuis l’adresse URL suivante : www.studio.obvious.ly.
  12. Société : désigne la société Obviously France, société par actions simplifiée immatriculée au RCS de Paris sous le numéro 830 519 575.

2. Objet.

Les Conditions Générales ont pour objet de :
(i) déterminer les conditions d’utilisation et de fonctionnement du Service mis à la disposition de l’Influenceur par la Société et
(ii) de décrire les modalités et obligations auxquelles l’Influenceur et la Société sont soumis pour chaque Campagne d’un Client, dans le cadre de l’acceptation puis de l’exécution des Prestations par l’Influenceur, notamment la cession de tous droits y afférents, et l’autorisation d’exploitation des Éléments de la personnalité.

En créant un Compte sur le Site, l’Influenceur déclare avoir pris connaissance des Conditions Générales et les accepter sans restriction ni réserve.

Les présentes Conditions Générales constituent avec l’Offre, les documents contractuels opposables à l’Influenceur, à l’exclusion de tout autre.

Celles-ci ne sauraient être modifiées par des stipulations contraires pouvant figurer sur les bons de commande de l’Influenceur et/ou de la société qui le représente (i.e. agent) ou dans ses conditions générales de vente/d’achat, quel que soit le moment où elles auront pu être portées à la connaissance d’Obviously France.

En cas de contradiction entre tout ou partie des clauses des Conditions Générales et de l’Offre, les dispositions de l’Offre prévalent.

3. Inscription et accès au Service.

L’inscription au Service est subordonnée à la création d’un Compte par l’Influenceur. Afin de créer un Compte, l’Influenceur doit obligatoirement : (i) se rendre sur le Site accessible à l’adresse studio.obvious.ly; (ii) renseigner son identité (nom, prénom, email) ; (iii) accepter les présentes Conditions Générales et la politique de confidentialité ; (iv) renseigner les Réseaux Sociaux sur lesquels il est inscrit ainsi que son blog, s’il en a un ; (v) renseigner son sexe (H/F), sa date de naissance et la ville dans laquelle il est situé.

Ces informations vont permettre à la Société de lui proposer des partenariats ciblés avec des Clients. L’Influenceur est amené à créer un mot de passe qu’il s’engage à garder confidentiel. L’inscription au Service est gratuite. Le Service est accessible 24h/24 et 7j/7, hormis les périodes d’interruption nécessaires à la maintenance du Site.

Votre inscription au Service se fait sur le Site par la création d’un Compte.

La création de ce Compte nous permettra de vous proposer des partenariats ciblés.

4. Fonctionnement du Service.

4.1 Mise en relation avec des Clients.

A compter de la création de son Compte, la Société peut proposer à un Influenceur qui sera libre ou non de faire participer sa famille, en fonction de son profil et des critères définis par le Client, de participer à des Campagnes en créant des Contenus.

A cet effet, la Société transmet à
l’Influenceur, sur l’adresse email de l’Influenceur , un lien dirigeant vers une Offre afin de lui présenter les Prestations à effectuer dans le cadre de la Campagne.

L’Offre contient notamment les informations suivantes : (i) la description de la Campagne (intitulé de l’opération, produits /services à promouvoir) ; (ii) la description du contenu à créer ; (iii) les informations indispensables à relayer ; (iv) les délais de réalisation des Contenus et les dates de diffusion convenues ; (v) les conditions de rémunération ; (vi) le ou les Réseaux Sociaux de l’Influenceur proposés pour la Campagne ; (vii) le nombre de publications par typologie de contenus.

Il est entendu que l’inscription de l’Influenceur sur le Compte n’implique pour la Société aucune obligation de lui proposer un quelconque partenariat.

Il est précisé que dans l’hypothèse où l’Influenceur se verrait proposer une campagne avec un client de la société de droit américain Obviously LLC, il devra valider les conditions générales proposées par cette société, au moment de l’acceptation de cette campagne.

Si nous vous choisissons pour participer à une Campagne, nous vous demanderons de créer et de publier un Contenu original pour cette Campagne. Nous vous expliquerons les Prestations attendues et vous indiquerons le montant de votre rémunération dans une Offre qui vous sera transmise sur votre adresse email telle que renseignée sur votre Compte.

En cas de partenariat proposé pour un client de notre société-mère Obviously LLC, nous vous demanderons de valider les conditions générales applicables à cette société.

4.2 Acceptation ou refus de la Campagne.

A réception de l’Offre, l’Influenceur dispose d’un délai indiqué sur l’Offre pour accepter ou refuser de participer à la Campagne. L’acceptation sera réputée validée dès lors que l’Influenceur aura cliqué sur le bouton « Obviously Yes ».

En cas d’acceptation de la Campagne, l’Influenceur devra de nouveau valider les présentes Conditions Générales.

Dans l’hypothèse où l’Influenceur aurait effectué une communication susceptible de nuire à la promotion de l’image de marque du Client, il s’engage à en informer immédiatement la Société et à refuser la Campagne.

Vous êtes libre de participer ou non à la Campagne.

En cas d’acceptation, nous vous demanderons de valider à nouveau les présentes Conditions Générales.

4.3 Création des Contenus.

En cas d’acceptation de la Campagne,
l’Influenceur s’engage à créer des Contenus quelle que soit leur nature (texte, image, photographie, vidéo, mise en scène, etc.), comportant à minima les informations contenues dans l’Offre.

L’Influenceur accepte notamment de prendre des photographies le représentant et/ou représentant sa mise en scène et de les intégrer au Contenu dans les conditions définies dans l’Offre en y faisant participer ou non sa famille à la demande de la société.

L’Influenceur s’engage à apporter le plus grand soin à l’exécution de ses Prestations de création de Contenus en respectant l’image de marque du Client.

Les Contenus proposés devront respecter en particulier (i) les spécificités de création des Contenus et les délais de réalisation visés dans l’Offre, et de manière générale (ii) toutes lois et règlementations applicables, notamment dans l’hypothèse où l’Influenceur envisagerait d’y intégrer ses Eléments de la personnalité ou de ses enfants mineurs et/ou tout élément (photographie, etc.) susceptible de faire l’objet d’une protection au titre du droit de la propriété intellectuelle. Pour toutes questions relatives au respect de la législation applicable, l’Influenceur s’engage à contacter la Société avant de publier ou de rendre public tout Contenu.

Dans l’hypothèse où l’Influenceur ferait participer ou apparaître d’autres personnes dans le cadre de la création du Contenu, l’Influenceur s’engage à obtenir leur consentement préalable et écrit s’il s’agit notamment de mineur de plus de 13 ans ou dans le cas contraire avec l’autorisation de l’autre parent titulaire de l’autorité parentale, et le cas échéant à se faire céder tous droits y afférents

L’Influenceur garantit quoiqu’il en soit la Société contre toute revendication et/ou réclamation de toute nature qui émanerait de tout tiers qui aurait participé d’une quelconque manière et/ou qui serait physiquement intervenu sur le Contenu.

Vous devez respecter toutes les Prestations visées dans l’Offre, y compris les dates d’échéance que nous fixons.

Les Contenus que vous créez sur la base des caractéristiques visées dans l’Offre doivent être réalisés avec le plus grand soin et respecter les lois et réglementations applicables.

Si toute autre personne que vous est impliquée ou représentée dans le Contenu, vous devez lui faire signer un formulaire de consentement et nous remettre une copie de ce formulaire avant d’utiliser le Contenu pour la Campagne.

4.4 Publication des Contenus.

L’Influenceur s’engage à publier les Contenus sur son ou ses Réseaux Sociaux, en mode « public » (c’est-à-dire visible par tous, y compris par les personnes n’appartenant pas directement à ces Réseaux Sociaux) et à apporter le plus grand soin à l’exécution de ses Prestations de diffusion des Contenus, en respectant l’image de marque du Client.

L’Influenceur s’engage à respecter scrupuleusement le calendrier de diffusion défini sur l’Offre.

L’Influenceur a toutefois connaissance du fait que les dates et heures de diffusion indiquées pourront évoluer jusqu’au dernier moment à la libre discrétion de la Société/du Client compte tenu des contraintes inhérentes à son image de marque.

L’Influenceur déclare être informé des dispositions légales et réglementaires qui encadrent son activité commerciale, et notamment de l’article 20 de la Loi n° 2004-575 du 21 juin 2004 pour la confiance dans l'économie numérique et des articles L.121-1 et suivants du Code de la consommation.

L’Influenceur s’oblige dans ce cadre, à titre de condition essentielle des présentes, à mentionner sur chacun des Contenus, quel que soit le support, l’existence d’une collaboration commerciale intervenue dans un cadre sponsorisé entre l’Influenceur et le Client. 

Cette identification peut se faire par tout moyen, dès les premières lignes ou secondes du discours, du texte accompagnant le contenu ou de la vidéo, par l’apposition d’une mention explicite type : « partenariat sponsorisé avec la marque » ; « collaboration commerciale » ; « publicité » ; « pub » ou « partenariat » associée au nom de la marque), dès lors qu’elle est portée à la connaissance du public.

L’Influenceur conservera en ligne, de manière accessible au public sur ses Réseaux Sociaux, l’intégralité des Contenus réalisés dans le cadre des présentes, sur chacun des supports concernés, pendant une durée de 6 (six) mois à compter de leur première date de diffusion.

Les Contenus que vous créez sur la base des caractéristiques visées dans l’Offre doivent être diffusés avec le plus grand soin dans le respect des lois et réglementations applicables.

Toute diffusion des Contenus sur les Réseaux Sociaux devra faire apparaître clairement qu’il s’agit d’une collaboration commerciale sponsorisée pour le compte du Client.

4.5 Contrôle des Contenus.

A la demande de la Société dans l’Offre, Contenu réalisé par l’Influenceur pourra lui être soumis pour approbation au plus tard 48h (quarante-huit) heures avant la date de diffusion convenue dans l’Offre, la Société se réservant pour les besoins de la communication du Client le droit de solliciter des modifications que l’Influenceur s’engage à réaliser avant toute diffusion. Si cette demande n’est pas mentionnée dans l’Offre, l’influenceur ne sera pas tenu de soumettre son contenu avant publication.

L’Influenceur s’engage à respecter toutes demandes de modification des Contenus avant ou après publication sur les Réseaux Sociaux, voire de suppression immédiate des Contenus après publication, qui seraient contraires aux caractéristiques de l’Offre et aux dispositions des présentes Conditions Générales.

Si cela est précisé dans l’Offre, vous devrez nous soumettre pour validation votre Contenu avant sa date de diffusion.

Si nous estimons que vos Contenus ne correspondent pas aux caractéristiques visées dans l’Offre et plus largement qu’ils sont contraires aux Conditions Générales, et donc inappropriés, vous devrez effectuer toutes modifications demandées avant publication et/ou les supprimer immédiatement à la demande de la Société après publication.

4.6 Cession de droits.

En cas d’acceptation de la Campagne,
l’Influenceur s’engage à céder en son nom et celui de ses enfants mineurs à titre exclusif à la Société, pour le monde entier et pour une durée de 6 (six) mois :

(i) le droit d’utiliser, publier, reproduire, représenter et adapter à des fins publicitaires et promotionnelles les Contenus tels que visés dans l’Offre de chaque Campagne, en intégralité ou en partie et en tous formats sur les supports visés dans l’Offre;

(ii) le droit d’utiliser les Éléments de la personnalité de l’Influenceur ainsi que ses informations biographiques professionnelles et personnelles, et toutes autres caractéristiques personnelles et professionnelles figurant sur les Contenus ou utilisées en relation avec les Contenus et pour les supports précités ; et

(iii) le droit d’utiliser l'URL, les liens et les captures d'écran des blogs, vidéos, sites web et autres Réseaux Sociaux de l’Influenceur en relation avec les Contenus et pour les supports précités.

L’exclusivité consentie ci-dessus ne concerne pas l’exploitation des Contenus par l’Influenceur dans le strict cadre de l’exécution des Prestations pour la Campagne.

Il est expressément convenu que la Société est habilitée à accorder à des tiers et notamment à ses Clients, au besoin par voie de cession, toutes les autorisations qu’elle jugera nécessaires pour l’exploitation des droits cédés par l’Influenceur à la condition toutefois que le ou les enfant(s) mineur(s) n’apparaissent (ait) pas seul(s) sur la publication.

La présente cession n’implique aucune obligation, pour la Société et/ou le Client, d’exploiter les Contenus cédés.

La Société accorde à l’Influenceur, pour les stricts besoins de la Campagne et sa durée, une autorisation d’utilisation non exclusive, non transférable, non cessible et à titre gracieux lui permettant d’utiliser le Contenu avec le nom du Client, son logo et toutes autres marques commerciales afférentes à la Campagne du Client, uniquement dans le cadre des Prestations autorisées et approuvées de l’Influenceur, sauf indication contraire spécifique à une Campagne.

L’Influenceur reconnaît qu’il n'a et ne revendiquera aucun droit, titre ou intérêt relatifs aux marques commerciales, marques de service, noms commerciaux et de manière générale à tous droits de propriété intellectuelle de la Société ou du Client.

4.7 Autres exploitations

Compte tenu des enjeux de la Campagne du Client et dans l’hypothèse où le Client envisagerait d’autres exploitations du Contenu que celles visées aux présentes Conditions Générales afin de valoriser ses produits et services, l’Influenceur consentira, par acte séparé, une autorisation de diffusion et d’exploitation du Contenu pour une exploitation sur d’autres supports que ceux visés au sein de l’Offre.  

Dans ce cadre, l’Influenceur sera amené à consentir une cession de droits de propriété intellectuelle ainsi qu’une autorisation d’exploitation des Éléments de la personnalité

En cas d’accord de votre part pour participer  à la Campagne, vous nous autorisez à utiliser les Contenus créés sur la base de l’Offre (tous les droits ci-contre nous étant intégralement cédés pour le monde entier et la durée ci-contre), ainsi que vos Eléments de la personnalité (nom, prénom, pseudonyme, voix, image, signature etc.) et toutes caractéristiques personnelles ou professionnelles figurant sur les Contenus ou utilisées en relation avec les Contenus.

Pendant toute la durée ci-contre, vous n’avez pas la faculté d’utiliser le Contenu d’une quelconque manière que ce soit à d’autres fins que celles convenues au titre des présentes Conditions Générales, à moins que nous l’autorisions expressément et préalablement à toute utilisation de votre part.

Nous pouvons céder ces mêmes droits à des tiers et notamment à nos Clients.

Vous pouvez utiliser le Contenu avec le nom du Client, son logo et toutes autres marques commerciales afférentes à la Campagne du Client, aux seules fins d’exécution des Prestations.

Aucun droit ne vous est cédé sur ces éléments.

Dans l’hypothèse où le Client souhaite exploiter vos Contenus et Éléments de la personnalité en dehors des supports visés sur l’Offre, nous vous ferons signer une autorisation complémentaire par acte séparé.

4.8 Rémunération.

En cas d’acceptation de la Campagne, et compte tenu de la nature et des conditions d’exploitation des Contenus, en considération notamment des dispositions de l’article L131-4 alinéa 2 notamment 4° du Code de la propriété intellectuelle, la Société s’engage à verser à l’Influenceur une rémunération en nature ou à titre forfaitaire en numéraire, en échange marchandise et/ou en bons d’achats incluant, tant la Prestation de création des Contenus, que la cession de tous droits visés à l’article 4.6 des présentes.

Le montant ou les modalités de la rémunération versée par la Société sera mentionné dans l’Offre.

Il est précisé que les frais éventuellement engagés par l’Influenceur pour la réalisation des Contenus resteront à sa charge, sauf accord écrit contraire entre l’Influenceur et de la Société.

Dans l’hypothèse où le Client souhaiterait utiliser les Contenus sur d’autres supports que ceux visés à l’article 4.6, et conformément à l’article 4.7, une rémunération complémentaire sera convenue par contrat séparé.

Nous vous rémunérons de façon forfaitaire pour le Contenu que vous fournissez pour chaque Campagne, dont le montant sera indiqué sur l’Offre. En dehors de cette rémunération, les frais éventuellement engagés pour la réalisation de la Campagne restent à votre charge, sauf accord contraire de la Société.

Toute exploitation de vos Contenus en dehors des supports visés sur l’Offre fera l’objet d’une rémunération complémentaire convenue par acte séparé.

4.9 Garanties.

De manière générale, l’Influenceur garantit à la Société l’exercice paisible des droits accordés et notamment qu’il a plein pouvoir et qualité pour s’engager et accorder aux termes des présentes les droits cédés et prévus ci-avant, et que ces droits ne sont ni ne seront en aucune manière cédés, ni d’une façon quelconque, dévolus en faveur d'un tiers.

S’agissant de l’utilisation de l’image de ses enfants mineurs, l’influenceur atteste sur l’honneur disposer du droit d’utilisation de l’autre parent de du ou des enfants concernés

Il en est précisé que dans l’hypothèse où l’Influenceur ferait intervenir un mineur dans le cadre de l’exécution des présentes, l’Influenceur garantit à la Société qu’il dispose de l’ensemble des autorisations et/ou déclarations nécessaires en application de la réglementation en vigueur, et qu’il procédera à toutes démarches en lien avec le versement de la rémunération visée à l’article 4.8.

Dans le cadre de l’acceptation de chaque Campagne, l’Influenceur déclare et garantit : (i) qu’il est libre de participer à la Campagne ; (ii) que sa participation à la Campagne ne contrevient en rien aux dispositions de tout accord auquel il serait partie ou ne viole aucune exclusivité qu’il aurait consentie à un tiers ; (iii) qu’il respecte, dans le cadre de la création des Contenus, les indications contenues dans l’Offre ; (iv) qu’il dispose de toutes les autorisations nécessaires pour exploiter les Contenus ; (v) que les Contenus sont entièrement originaux et qu’ils ne sont pas la copie, en intégralité ou en partie, d’une autre œuvre, à l'exception du matériel relevant du domaine public ou fourni à l’Influenceur par la Société ; (vi) que les Contenus ne contiennent rien qui puisse tomber sous le coup des lois et réglementations relatives à la contrefaçon de tous droits de propriété intellectuelle, à la diffamation, l’injure, au dénigrement, à la concurrence déloyale, au respect de la vie privée et du droit à l’image ou plus généralement à la responsabilité civile ou pénale.

L’Influenceur s’engage à garantir la Société contre tout trouble, revendication ou éviction quelconque qui pourraient porter atteinte à la jouissance entière et libre des droits cédés. Il lui garantit l’exercice paisible et exclusif des droits cédés et s’engage envers elle à faire respecter ces droits et à les défendre contre toutes les atteintes qui lui seraient portées.

Vous déclarez que vous êtes en capacité de conclure les présentes et sans enfreindre les droits d'autrui.

Vous garantissez la Société en cas d’exécution des présentes par l’intervention d’un mineur.

Vous déclarez que le Contenu que vous fournissez est original et n’enfreint aucune loi et réglementation, notamment au titre des droits de propriété intellectuelle et des droits de la personnalité.

Si vos actions et le contenu de vos posts, quels qu’ils soient, entraînent une action en justice contre notre Société ou nos Clients, vous serez responsable de l’ensemble des dommages et intérêts et autres frais que notre Société ou nos Clients encourraient en conséquence.

5. Indépendance.

En cas de création de Contenus par l’Influenceur et de manière générale dans le cadre de la Campagne, l’Influenceur exercera sa mission en toute indépendance à l’égard de la Société et du Client.

Aucune disposition des présentes Conditions Générales ne saurait être interprétée comme visant à créer un partenariat, une agence, une co-entreprise ou un contrat de travail.

En conséquence, la rémunération versée à l’Influenceur n’est soumise à aucune retenue par la Société et seul l’Influenceur sera tenu de déclarer les sommes correspondantes auprès de toute autorité sociale et fiscale compétente.  

Dans ce cadre, l’Influenceur garantit la parfaite légalité de la mission convenue et fera son affaire du respect des dispositions légales et règlementaires le cas échéant applicables à son engagement contractuel, de tout éventuel paiement de charges, taxes et contributions dues, de telle sorte que la responsabilité de la Société et du Client ne puisse être en aucune façon recherchée.

A supposer que de telles charges viennent à être imputées à la Société à raison d’un manquement de l’Influenceur à ses obligations, elles seraient portées au débit du compte ou à la charge de l’Influenceur.

Vous avez le statut de prestataire indépendant. Cela signifie que vous nous fournissez des Prestations contre une rémunération, mais vous n’êtes pas notre employé, aucun lien de subordination de nous liant. 

Vous êtes responsable du paiement de vos propres impôts, cotisations et autres charges de toute nature et plus largement du respect de vos autres obligations légales.

6. Confidentialité – Non-dénigrement – Concurrence.

Pendant toute la durée de l’inscription au Service et jusqu’à l’expiration d’une durée de 10 (dix) ans à compter de la résiliation du Service, l’Influenceur s’interdit de divulguer ou de communiquer à des tiers, par écrit ou oralement, toute information de toute nature et notamment commerciale, financière, juridique, relative (i) aux relations intervenues entre l’Influenceur et la Société
– notamment les conditions financières dans lesquelles l’Influenceur est intervenu pour le Client via le Service – sans l'approbation écrite et préalable de la Société, (ii) à la Société ou au Client, dont il pourrait avoir connaissance dans le cadre de l’utilisation du Service, et notamment de mentionner leurs activités respectives, leurs actionnaires, membres, administrateurs, dirigeants, employés, sous-traitants et/ou clients, et (iii) aux prestations exécutées par l’Influenceur pour le compte de la Société/du Client, via tout type de communication de toute nature et sur tous supports, à moins et jusqu'à ce que ces informations confidentielles soient devenues, de manière générale, accessibles au public par l’intermédiaire de sources différentes de l’Influenceur.

Il est entendu que l’Influenceur ne doit pas communiquer sur la stratégie commerciale de la Société ainsi que sur la stratégie d’influence du Client.

Lors de la résiliation des présentes, l’Influenceur ne devra pas communiquer ni faire référence aux détails spécifiques de cette résiliation et limitera tout commentaire ou déclaration concernant cette résiliation, le cas échéant, au fait que la relation a pris fin et à la date effective de la résiliation.

Ces dernières dispositions n'empêchent pas l’Influenceur d'exercer les droits auxquels, conformément à la loi, il ne peut pas renoncer en vertu des présentes, ou de divulguer des informations dans la mesure où la loi l’exige, notamment s’agissant de l’obligation mise légalement à sa charge de faire valoir l’existence du caractère publicitaire de son message et le nom du Client pour lequel il est diffusé.

L’Influenceur s’interdit de mentionner spécifiquement sa relation avec la Société et/ou le Client, dans le cadre d’activités politiques, de causes sociales ou d’activités commerciales qui n’auront pas été préalablement approuvées par écrit par la Société.

L’Influenceur, cependant, pourra divulguer d’une manière favorable, positive et non dénigrante son association générale avec la Société et / ou le Client.

L’Influenceur s’engage en outre, pendant une durée de deux (2) semaines avant et deux (2) semaines après ses publications à compter de l’acceptation de la Campagne, à ne pas contracter de partenariat(s) dont l'objectif serait de promouvoir une société concurrente de la Cliente évoluant dans un secteur identique auquel elle intervient, et à ne pas faire de publication sur ses réseaux sociaux habituel sur une marque concurrente de celle du Client.

Vous acceptez de garder confidentielles les informations spécifiques relatives à notre partenariat, aux Prestations que vous fournissez, à notre société et nos Clients, sauf si nous vous donnons l’autorisation de les divulguer.

Vous ne pouvez en aucun cas associer des activités politiques, sociales ou commerciales au Contenu que vous créez pour les Campagnes.

Vous ne pouvez pas émettre de critique envers nous ou nos Clients lorsque vous fournissez un Contenu pour une Campagne.

Vous pouvez indiquer que vous travaillez ou avez travaillé avec nous ou avec nos Clients mais seulement en termes généraux de manière positive.

Vous ne pouvez pas nouer de partenariat avec une entreprise /marque concurrente à celle du Client sur vos Réseaux Sociaux pour toute la durée ci-contre.

7. Responsabilité.

L’Influenceur demeurera seul responsable de la bonne exécution des Prestations de création et de diffusion du Contenu dans le cadre de la Campagne du Client, en respect des caractéristiques spécifiées dans l’Offre et des dispositions prévues aux Conditions Générales.

L’Influenceur reconnaît et convient que la Société et le Client n'assumeront aucune responsabilité pour tout dommage qui serait le résultat de négligences, d’actes intentionnels ou d’omissions de la part de l’Influenceur qui ont eu lieu avant, pendant ou après l’exécution des Prestations.

L’Influenceur exonère également la Société et le Client de toute responsabilité pour toute revendication et/ou réclamation de toute nature pouvant survenir en relation avec l’utilisation du Contenu et des Eléments de la personnalité de l’Influenceur, y compris toute revendication et/ou réclamation pour diffamation, injure, atteinte à la vie privée et/ou à l’image, violation des droits moraux et/ou ou des droits patrimoniaux d'auteur.

La responsabilité de la Société / du Client ne saurait être engagée, sans que cette liste ne soit limitative : (i) en cas d’utilisation par un tiers de l’identifiant et du mot de passe du Compte ni en cas de modification, suspension ou d’interruption du Service ; (ii) en cas d’interférences de tiers dans les systèmes de communication et de transmission que l’Influenceur utilise ; (iii) en cas de dysfonctionnements ou d’arrêts du Service dus à des négligences, à des fautes ou à un acte quelconque de la part de l’Influenceur ou d’un tiers ; (iv) en cas de défaillance du réseau Internet ou de mauvaise configuration du matériel informatique utilisé par l’Influenceur pour accéder au Service.

Il est entendu que la Société ne pourra en aucun cas être tenue pour responsable si aucune Campagne n’est proposée à l’Influenceur à compter de son inscription au Service.

Vous êtes seul responsable des Contenus que vous créez et diffusez dans le cadre des Campagnes qui vous sont proposées et que vous avez acceptées.

Votre responsabilité sera pleinement engagée en cas de mise en ligne de Contenus qui contreviendraient aux droits d’autrui, sans que notre Société ne puisse en être inquiétée.

Notre responsabilité ne sera pas engagée en cas de difficultés et/ou dysfonctionnements relatifs au Service en lien avec une utilisation défaillante de votre part ou qui serait étrangère à notre Société.

8. Durée et Résiliation du Service.

8.1 Durée du Service

Les présentes Conditions Générales prennent effet au jour de l’inscription de l’Influenceur au Compte via le Site de la Société et s’achèveront à la date de résiliation du Service dans les conditions ci-après.

Il est précisé que les conditions de durée telles que déterminées aux présentes ainsi que dans l’Offre et relatives (i) aux conditions de diffusion des Contenus pour la Campagne du Client (article 4.4 et Offre) (ii) à l’exploitation des Contenus par la Société / le Client (article 4.6), et (iii) à l’obligation de confidentialité et l’interdiction de contracter avec un tiers concurrent (article 6), sont indépendantes de la durée du Service, et continueront dès lors à s’appliquer de façon autonome après la résiliation du Service.

8.2 Résiliation à l’initiative de l’Influenceur.

L’Influenceur peut supprimer son Compte à tout moment par le biais d’un simple mail adressé à Estelled@obvious.ly

La suppression du Compte de l’Influenceur entraîne ipso facto la suppression de l’accès au Service, sans préjudice de la bonne exécution des Prestations en cours au moment de cette suppression et sauf demande contraire de la Société.

Les Conditions Générales entrent en vigueur au jour de votre inscription, jusqu’à la date de suppression de votre Compte, à votre initiative ou celle de notre Société.

La durée du Service est indépendante des durées relatives à la diffusion et à l’exploitation des Contenus, ainsi qu’à celle relative à l’obligation de confidentialité et à l’interdiction de contracter avec une entreprise concurrente.

8.3 Résiliation à l’initiative de la Société.

La Société se réserve le droit en cas de non-respect par l’Influenceur de l’une quelconque des clauses figurant aux présentes Conditions Générales ou pour tout motif susceptible de nuire à l’image et à la réputation de la Société et/ou du Client, de résilier purement et simplement et à tout moment son Compte, sans qu’il ne puisse solliciter une quelconque indemnité à quelque titre que ce soit.

Dans cette hypothèse, et en cas de Prestations en cours dans le cadre d’une Campagne, la Société se réserve le droit de mettre fin aux Prestations, sans que l’Influenceur ne puisse réclamer d’indemnité à quelque titre que ce soit.

9. Divers.

9.1 Modification des Conditions Générales.

La Société se réserve le droit de modifier à tout moment les présentes Conditions Générales. Il est dès lors recommandé à l’Influenceur de prendre connaissance régulièrement des Conditions Générales.

Tout amendement, résiliation ou abandon de l'une quelconque des clauses des Conditions Générales ne sera valable qu'après accord écrit et signé entre les parties.

9.2 Cession.

L’Influenceur ne peut en aucun cas céder ou transférer ses obligations en vertu des présentes sans le consentement écrit préalable de la Société.

9.3 Nullité d’une clause.

Si une ou plusieurs clauses des présentes devait être annulée ou déclarée sans effet, il n’en résulterait pas pour autant la nullité de l’ensemble des Conditions Générales ou de leurs autres dispositions et n’affecterait pas l’exécution des engagements souscrits par les parties au titre des présentes.

9.4 Non-renonciation.

Le fait pour l’une ou l’autre des parties de ne pas se prévaloir de droits accordés par une clause des présentes ou le fait pour l’une ou l’autre partie de ne pas demander l’application d’une clause ne vaut pas pour autant renonciation pour l’avenir au bénéfice ou à l’application de cette clause.

9.5 Droit applicable – langue - litiges.

Les présentes Conditions Générales sont régies et soumises au droit français et sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige.

Tout litige résultant de la formation, de l'interprétation ou de l'exécution des présentes Conditions Générales sera de la compétence exclusive des tribunaux du ressort de Paris, nonobstant pluralité de défendeurs ou appel en garantie.

Explanations

PREAMBULE

Obviously France offers influencer marketing campaigns for its client companies through the use of social networks of the Internet (including but not limited to Instagram, Facebook, Twitter, Snapchat, LinkedIn, Pinterest, YouTube, TikTok and Twitch).

The website “Obviously Studio”, available at the following URL address www.studio.obvious.ly, offers to connect influencers known for producing and distributing various types of Contents on these social networks with client companies of Obviously France.

The present terms and conditions constitute the contractual basis of the relationship between Obviously France and the influencer registered on www.studio.obvious.ly:

  • concerning the use of this matchmaking service via the website;

  • in case the influencer accepts (mechanism described below) to create and post content as part of influencer marketing campaigns of the client companies of Obviously France.

These General Terms and Conditions may be supplemented from time to time by “Offers” which shall constitute specific terms and conditions and include a description of the services requested from the influencer.

In this column, you’ll see some plain-language notes to explain each section. Please note that these explanations are not themselves legally binding and do not affect the interpretation of the terms in the left-hand column.

These General Terms are a binding agreement between you and our Company governing the use of the service enabling you to connect with our clients, as provided on our website, and are the contractual basis of your relationship with our Company from the day you accept to perform content creation and posting services for our clients’ campaign.

You will receive a description of the Services to be provided in a specific Offer for each client’s campaign.

  1. Definitions.

In the present general terms and conditions of services and partnership (hereinafter the “General Terms”), capitalized terms shall have the following meaning:

The definitions in the left-hand column will help you clearly understand notions referred to in these General Terms.

  1. Campaign: means an influencer marketing campaign offered by a Client to an Influencer through the Company /the Service.
  2. Client: means a business client of the Company offering an influencer marketing campaign for its brand, products or services and wishing to communicate through the Service and thus Influencers.
  3. Account: means the space available from the Website which the Influencer agreed to create to access the Service.
  4. Content: means any content, regardless of its nature (text, image, photograph, video, staging, etc.) created, developed, or made available by an Influencer upon request of a Client for the purposes of carrying out a Campaign, in accordance with the terms and conditions set out in an Offer.
  5. Personality Traits: means the Influencer’s image and/or voice and/or first name and/or last name and/or pseudonym and/or signature and/or silhouette, together or separately.
  6. Offer: means the specifications drawn up by the Client to present and detail to the Influencer the Services to be provided in the context of each Campaign; the Offer is part of the contractual scope and is deemed to constitute specific terms and conditions hereto.
  7. Influencer: means the natural person or legal entity present on social networks and having agreed to create Content on the Website or any underage person duly represented by such person in the context of the participation of family members in the digital campaign and intended to appear only on the Influencer's networks.
  8. Services: means the services to be provided by the Influencer as well as those represented by him/her (underage), through the Company, in the framework of the Client’s Campaign, and which shall be specified in the Offer.
  9. Social Networks: means the social networks (including but not limited to Instagram, Facebook, Twitter, Snapchat, LinkedIn, Pinterest, YouTube, TikTok, Twitch) of which the Influencer is a member and on which he/she can promote the Content.
  10. Service: means the matchmaking service offered by the Company to Influencers via the Website.
  11. Website: means the website available at the following URL address: www.studio.obvious.ly.
  12. Company: refers to Obviously France, a French simplified joint stock company (société par actions simplifiée) registered with the Paris Trade Registry under number 830 519 575.

2. Purpose.

The purpose of the General Terms is to:
(i) determine the conditions of use and operation of the Service made available to the Influencer by the Company and

(ii) describe the terms and obligations binding the Influencer and the Company for each Client Campaign, regarding the acceptance and then performance of the Services by the Influencer, in particular with respect to the assignment of all the relevant rights and the authorization to use the Personality Traits.

When creating an Account on the Website, the Influencer declares that has read the General Terms and accepts them without any restriction or reservation.

These General Terms, together with the Offer, constitute the contractual documents enforceable against the Influencer, to the exclusion of any other.

They shall not be modified by contradicting provisions which may appear on order forms of the Influencer and/or the company representing him/her (i.e. agent) or in his/her general terms of sale/purchase, regardless of when they have been brought to the attention of Obviously France.

Should there be any contradiction between all or part of the provisions of the General Terms and of the Offer, the terms of the Offer shall prevail.

If YouTube account is connected to Studio, the Influencer agrees to be bound by the YouTube Terms of Service. (https://www.youtube.com/t/terms)

3. Registration and access to the Service.

Registration for the Service is subject to the creation of an Account by the Influencer.  Before creating an Account, the Influencer shall : (i) visit the Website available at studio.obvious.ly; (ii) fill in his/her identity (name, first  name, email); (iii) accept these General Terms and the privacy policy; (iv) indicate the Social Networks on which he is registered and, where applicable, reference to his/her blog; (v) indicate his/her gender (M/F), his/her birthdate and the city in which he/she is located.

This information will enable the Company to offer the Influencer targeted partnerships with Clients.  The Influencer will be required to create a password which he/she undertakes to keep strictly confidential. Registration to the Service is free.  The Service is available 24h a day and 7 days a week, except during interruption periods necessary for the maintenance of the Website.

You can register to the by creating an Account on the Website.

The creation of this Account will allow us to offer you targeted partnerships.

4. Operation of the Service.

4.1 Connecting with Clients.

Once an account has been created, the Company can offer the Influencer to take part in Campaigns by creating Content, according to his/her profile and to the criteria defined by the Client; the Influencer shall be free to or not to participate and have his family participate.

To this end, the Company shall send to the Influencer, on his/her e-mail address, a link to an Offer presenting the Services to be provided as part of the Campaign.

The Offer shall in particular contain the following information: (i) description of the Campaign (title of the operation, products/services to be promoted); (ii) description of the content to be created; (iii) essential information to be conveyed; (iv) deadlines for the production of the Content and agreed distribution dates; (v) financial terms; (vi) the Influencer’s Social Network(s) proposed for the Campaign; (vii) the number of publications per type of Content. 

It is agreed that the Influencer’s registration through his/her Account does not imply any obligation for the Company to offer any partnership.

Should the Influencer be offered a campaign with a client of the American company Obviously LLC, he/she shall accept said company’s general terms and conditions when accepting this campaign.

If we pick you to participate in a Campaign, we will ask you to create and publish original Content for that Campaign. We will give you details about the Services you will need to provide and how much you will be paid in an Offer which will be sent to your e-mail address as indicated on your Account.

If you are offered a partnership with a client of our mother company Obviously LLC, we will ask you to agree to this company’s general terms and conditions.

4.2 Acceptance or rejection of the Campaign.

Upon receipt of the Offer, the Influencer is granted a time limit indicated on the Offer to either accept or decline to participate in the Campaign.  Acceptance shall be deemed validated once the Influencer clicks on the “Obviously Yes” button.

If the Influencer accepts the Campaign, he/she shall again agree to the present General Terms.

If the Influencer has made a communication which is likely to adversely affect the promotion of the Client’s brand image, he/she undertakes to immediately inform the Company and to decline the Campaign.

You can choose whether or not to participate in the Campaign.

If you accept, we will ask you to again agree to these General Terms.

4.3 Content creation.

If he/she accepts the Campaign, the Influencer undertakes to create Content, whatever its nature (text, image, photograph, video, staging, etc.) which at least contains the information contained in the Offer.

The Influencer agrees in particular to take pictures of him and/or his/her staging and to include them in the Content in accordance with the conditions defined in the Offer, with or without his/her family’s participation at the company’s request.

The Influencer undertakes to take the utmost care when performing his/her Content creation Services while respecting the Client’s brand image.

The proposed Content shall in particular comply with (i) the specificities for Content creation and the production deadlines mentioned in the Offer, and more generally (ii) all applicable laws and regulations, in particular if the Influencer contemplates including his/her Personality Traits or those of his underage children and/or any element (photograph, etc.) likely to be protected by intellectual property law. For all questions related to compliance with applicable law, the Influencer undertakes to contact the Company before publishing any Content or making it available to the public.

If the Influencer involves other persons when creating Content or has them appear in the Content, he/she undertakes to obtain their prior written consent if they are under 13 years of age or, if not, the authorization of the other parent holding parental responsibility, and, as the case may be, to have all relevant rights assigned to him/her.

The Influencer shall in any case indemnify the Company against any claim and/or complaint of any nature from any third party involved in any way and/or who has physically intervened in the Content.

You must comply with all the Services referred to in the Offer, including the deadlines we set.

The Content you create based on the characteristics set out in the Offer must be produced with the utmost care and comply with applicable laws and regulation.

If persons other than you are involved or represented in your Content, you must have them sign a consent form and provide us with a copy of that form before using the Content for the Campaign.

4.4 Content publication.

The Influencer undertakes to publish the Content on his/her Social Network(s), in “public” mode (i.e. visible to all, including by persons who are not directly members of these Social Netwoks) and to bring his/her utmost care when performing the Content distribution Services, while respecting the Client’s brand image.

The Influencer undertakes to strictly comply with the content distribution schedule defined in the Offer.

The Influencer is nevertheless aware that indicated distribution dates and times may evolve up until the very last moment, at the Company’s/Client’s discretion given the constraints inherent to its brand image.

The Influencer represents that he/she is aware of the legal and regulatory provisions governing his/fer commercial activity, and in particular article 20 of Law n°2004-575 dated 21 June 2004 on confidence in the digital economy and articles L.121-1 and subsq. of the French Consumer code.

In that respect, the Influencer undertakes, as an essential condition hereof, to mention on any Content, irrespective of its medium, the existence of a commercial collaboration between the Influencer and the Client in a sponsored context.

Such mention may be made by any means, in the very first lines or seconds of the speech, text accompanying the content or the video, by affixing an explicit mention such as: “sponsored partnership with the brand”; “commercial collaboration”; “advertisement”; “ad” or “partnership” associated with the name of the brand), as long as it is made known to the public.

The Influencer shall keep all the Content produced hereunder online, available to the public on its Social Networks, on each relevant media, for a period of 6 (six) months from their first distribution.

The Content you create based on the characteristics set out in the Offer must be distributed with the utmost care and in accordance with applicable laws and regulations.

When posting Content on Social Networks, you must clearly indicate that it is a sponsored commercial collaboration on behalf of a Client.

4.5 Content control.

Upon Company’s request in the Offer, the Content produced by the Influencer shall be submitted to the Company’s approval at the latest 48h (forty-eight hours) before the distribution date mentioned in the Offer; the Company reserves the right to request modifications for the Client’s communication purposes and the Influencer undertakes to make such modifications before posting the Content.  If such request is not mentioned in the Offer, the influencer shall not be bound to submit its content before posting it.

The Influencer undertakes to comply with any request to modify Content before or after their publication on the Social Networks, or even to immediately delete the Content after their publication, where such Content do not comply with the Offer and the provisions of these General Terms.

If it is specified in the Offer, you must submit the Content to our approval before it is posted.

If we consider that your Content does not comply with the characteristics set out in the Offer and more generally with these General Terms and that such Content is thus inappropriate, you must proceed to the requested modifications before posting it and/or immediately take down said Content upon Company’s request after publication.

4.6 Assignment of rights.

If the Influencer accepts the Campaign, he/she undertakes to assign to the Company, on his behalf and that of his/her underage children, on an exclusive basis, for the entire world and for a period of six (6) months:

(i) the right to use, publish, reproduce, represent and adapt for advertising and promotional purposes the Content mentioned in the Offer related to each Campaign, in whole or in part and in every format, on the media mentioned in the Offer;

(ii) the right to use the Influencer’s Personality Traits, professional and personal biographical information as well as any other professional and personal characteristics appearing in the Content or used in connection with the Content and for the aforementioned media; and

(iii) the right to use the URL, the links and screenshots of the Influencer’s blogs, videos, websites, and other Social Networks in connection with the Content and for the aforementioned media.

The exclusivity granted above shall not extend to the use of the Content by the Influencer in the strict performance of the Services for the Campaign.

It is expressly agreed that the Company shall be entitled to grant to third parties, in particular to its Clients, where required by way of assignment, all the authorizations it will deem necessary to exploit the rights assigned by the Influencer provided however that his/her underage child(ren) does/do not appear on his/her/their own in the publication.

The present assignment does not entail any obligation for the Company and/or the Client to use the assigned Content.

The Company grants to the Influencer, for the sole purpose and duration of the Campaign, a non-exclusive, non-transferable, non-assignable and royalty-free license to use the Content with the name of the Client, its logo and any other trademark related to the Client’s Campaign, solely in connection with Influencer’s authorized and approved provision of the Services unless otherwise set forth in a Campaign.

The Influencer acknowledges that he/she has no, and shall not claim any, right, title, or interest in or to any of Company or Client’s trademarks, service marks, trade names, and more generally any of their intellectual property rights.

4.7 Other uses

Given the stakes of the Client’s Campaign and should the Client contemplate other uses of the Content than those provided for hereunder to promote its products and services, the Influencer shall grant, in a separate agreement, an authorization to distribute and use the Content on media other than those mentioned in the Offer.  

In this context, the Influencer will be required to assign intellectual property rights and to authorize the use of his/her Personality Traits.

If  you agree to participate in the Campaign, you allow us to use the Content created on the basis of the Offer (all the rights listed in the adjacent column are assigned to our Company for the entire world and for the indicated duration), as well as your Personality Traits (name, first name, pseudonym, voice, image, signature, etc.) and any other personal or professional characteristic which appear in the Content or used in connection with the Content.

For the duration indicated in the left-hand column, you may not use the Content in any way for any purpose other than as agreed under these General Terms, unless we give you an express and prior authorization to do so.

We may assign such rights to third parties and in particular to our Clients.

You may use the Content with the Client’s name, logo and any other trademark related to the Client’s Campaign, for the sole purpose of performing the Services.

No right relating to these elements is assigned to you.

If the Client wishes to use your Content and Personality Traits on media other than those referred to in the Offer, we will have you sign an additional authorization in a separate agreement.

4.8 Compensation.

If the Campaign is accepted, given the nature and terms of use of the Content, and taking into account the provisions in particular of article L131-4 paragraph 2 notably 4° of the French Intellectual Property Code, the Company undertakes to compensate the Influencer in kind or in a lump sum in cash, in exchange for merchandise and/or in vouchers, for both the Content creation Service and the assignment of all rights referred to in article 4.6 herein.

The amount and terms of payment of the compensation paid by the Company shall be mentioned in the Offer.

Influencer shall bear all the expenses incurred in the performance of the Services, except as otherwise agreed in writing between the Influencer and the Company from time to time.

If the Client wishes to use the Content on media other than those mentioned in article 4.6, and according to article 4.7, an additional compensation will be agreed upon in a separate agreement.

We compensate you for the Content you provide for a Campaign and the amount of such compensation is indicated in the Offer. Apart from that compensation, you are responsible for all the costs you may incur when performing the Campaign, unless otherwise agreed by the Company.

Any use of the Content on media other than those mentioned in the Offer will give rise to an additional compensation as agreed upon in a separate agreement.

4.9 Representations and warranties.

In general, the Influencer warrants to the Company the peaceful enjoyment of the rights granted hereunder and in particular that he/she has the full right and power to enter into commitments and to hereby grant the assigned rights provided for above, and that such rights are not and shall not in any manner be assigned or in any other way vested in any other third party.

As far as the use of his/her underage children’s image is concerned, the Influencer certifies that it obtained the other parent’s right of use.

Should the Influencer involve a minor in the performance of the present agreement, the Influencer warrants to the Company that he/she has all the necessary authorizations and/or declarations in accordance with the law in force, and that he/she will take all steps in relation with the payment of the compensation provided for under article 4.8.

Upon acceptance of each Campaign, the Influencer represents and warrants that: (i) he/she is free to participate in the Campaign; (ii) his/her participation in the Campaign does not breach any other agreement to which he/she is a party and does not infringe any exclusivity he may have granted to any third party; (iii) he/she shall comply with the indications in the Offer when creating Content; (iv) he/she has all the necessary authorizations to use the Content; (v) the Content shall be wholly original and not copied in whole or in part from any other work except materials in the public domain or supplied to Influencer by the Company; (vi) the Content does not include anything which would fall under laws and regulations relating to the infringement of intellectual property rights, defamation, verbal abuse, disparagement, unfair competition, right to privacy or publicity, or more generally to civil or criminal liability.

The Influencer undertakes to indemnify the Company against any disturbance, claim or deprivation which may adversely affect the full and free enjoyment of the assigned rights. The Influencer warrants the peaceful and exclusive enjoyment of the assigned rights and undertakes to have them complied with and to defend them against any infringement.

You represent that you can enter into this agreement without violating anyone else’s rights.

You will hold the Company harmless if a minor is involved in the performance of the present agreement.

You represent that the Content that you provide will be original and will not violate any laws and regulations, in particular with respect to intellectual property and publicity rights.

If your actions and the content of any of your posts results in a lawsuit being brought against our Company or our Clients, you will be liable for the damages and other costs which our Company or our Clients may incur as a result thereof.

5. Independence.

When creating Content and more generally in the context of the Campaign, the Influencer shall be completely independent from the Company and the Client.

No provision hereunder may be interpreted as creating any partnership, agency, joint venture or employment relationship.

Consequently, the compensation paid to the Influencer shall not be subject to any withholding by the Company and the Influencer shall be solely responsible for filing income returns with any competent social and tax authority.

In this context, the Influencer warrants the legality of the agreed mission and shall be responsible for complying with the legal and regulatory provisions which may apply to his/her contractual commitment, as well as for the possible payment of charges, taxes and contributions which may be owed, so that the Company and the Client may not be held liable in any way.  

 

Should such charges be levied from the Company as a result of a breach of his/her obligations by the Influencer, such charges shall be debited to the Influencer’s account or paid by the Influencer.

You are an independent contractor. This means you are providing Services for us for compensation, but you are not our employee, and you are not in a subordinate relationship with us.

You are responsible for payment of your own taxes, contributions and charges as well as for compliance with your other legal obligations.

6. Confidentiality – Non-disparagement – Competition.

Throughout the duration of the registration to the Service and for a period of 10 (ten) years from the termination of the Service, the Influencer shall not disclose or communicate to third parties, in writing or orally, information of any nature and in particular commercial, financial, legal information concerning (i) the relationship between the Influencer and the Company – in particular the financial terms of the Influencer’s intervention for the Client via the Service – without the Company’s prior written approval, (ii) the Company or the Client, of which the Influencer may become aware while using the Service, and the Influencer shall in particular not mention their respective businesses, shareholders, members, directors, officers, employees, subcontractors and/or customers, and (iii) the services performed by the Influencer on behalf of the Company/the Client, via any type of communication and on any media, unless and until such confidential information has generally become available to the public through sources other than the Influencer.

It is agreed that the Influencer shall not communicate on the Company’s business strategy and on the Client’s influencing strategy.

Upon termination of this agreement, the Influencer shall not disclose or refer to the specific details of such termination and, as the case may be, shall limit any comment or declaration concerning such termination to the fact that the relationship ended and to the effective date of such termination.

This section does not prevent the Influencer from exercising rights that by Law the Influencer cannot waive hereunder or from disclosing information to the extent required by law, in particular pursuant to his/her legal obligation to disclose the advertising nature of his/her message and the name of the Client for whom it is posted.

The Influencer undertakes not to specifically reference his/her relationship with the Company and/or the Client in connexion with any political activities, social causes, or commercial activities which have not been preapproved by the Company in writing.

The Influencer may however disclose his/her general association with the Company and/or the Client in a favourable, positive, and non-disparaging manner.

The Influencer further undertakes, for a period of two (2) weeks before and two (2) weeks after his/her publications from the acceptance of the Campaign, not to enter into any partnership(s) aimed at promoting a competitor of the Client operating in an identical sector, and not to make any publication concerning a brand competing with the Client’s on his/her usual social networks.

You agree to keep specific information relating to our partnership, the Services you provide, our company and our Clients strictly confidential, unless we give you permission to disclose said information.

You may not combine any other political, social, or commercial activities with the Content you create for Campaigns.

You may not be critical of us or our Clients while providing Content for a Campaign.

You may indicate that you work or have worked with us or with our Clients but only in general terms and in a positive manner.

You cannot enter into a partnership with a company/brand which competes with the Client’s on your Social Networks for the duration indicated in the adjacent column.

7. Liability.

The Influencer shall be solely liable for the proper performance of the Services relating to the creation and distribution of the Content as part of the Client’s Campaign, in accordance with the characteristics specified in the Offer and with the provisions of these General Terms.

The Influencer acknowledges and agrees that the Company and the Client shall not be liable for any harm resulting from the Influencer’s negligence, intentional acts or omissions committed prior to, during or after the performance of the Services.

The Influencer further releases the Company and the Client from any claim and/or complaint that may arise regarding the use of Influencer’s Content and Personality Traits, including any claims of defamation, abusive words, invasion of privacy and/or publicity, infringement of moral rights and/or copyright.

The Company / the Client shall not be liable in the following cases (such list not being restrictive): (i) if a third party uses the Account id and password or if the Service is modified, suspended or interrupted; (ii) if a third party interferes with the communication and transmission systems used by the Influencer; (iii) in the event of malfunctions or stoppages of the Service due to negligence, fault or any act whatsoever on the part of the Influencer or of a third party; (iv) in the event of a failure of the Internet network or of a misconfiguration of the computer equipment used by the Influencer to access the Service.

It is agreed that the Company shall not in any case be held liable if no Campaign is proposed to the Influencer following his/her registration to the Service.

You are solely responsible for the Content you create and distribute as part of the Campaigns offered to you and accepted by you.

You will be fully liable if you post Content which infringe third parties’ rights, and our Company shall be held harmless.

We will not be liable in case of any hurdle and/or malfunction relating to the Service arising from a misuse on your part or causes beyond our Company’s control.

8. Term and Termination of the Service.

8.1 Term of the Service

These General Terms shall be effective from the Influencer’s registration to the Account via the Company’s Website and shall remain in force until the Service is terminated in accordance with the provisions below.

The term determined hereunder and in the Offer relating to (i) the distribution of the Content for the Client’s Campaign (article 4.4 and Offer), (ii) the use of the Content by the Company / the Client (article 4.6), and (iii) the confidentiality obligation and prohibition to enter into an agreement with a competing third party (article 6) are independent from the term of the Service and shall thus remain in force autonomously after the Service is terminated.

8.2 Termination by the Influencer.

The Influencer may delete his Account at any time simply by sending an e-mail to Estelled@obvious.ly

The deletion of the Influencer’s Account ipso facto results in the termination of his/her access to the Service, without prejudice to the proper performance of the Services in progress at the time of this deletion and unless otherwise requested by the Company.

The General Terms come into force when you register for the Service and remain in force until your Account is deleted by you or the Company.

The duration of the Service is independent from the duration for the distribution and use of the Content and that relating to the confidentiality obligation and the prohibition to contract with a competing company.

8.3 Termination by the Company.

The Company reserves the right to immediately terminate the Influencer’s Account at any time if he/she breaches any of the clauses hereunder or for any reason likely to damage the image and reputation of the Company and/or the Client; the Influencer shall not be entitled to claim any compensation in that respect.

In such case, and if Services are still in progress in relation with a Campaign, the Company reserves the right to terminate the Services, and the Influencer shall not be entitled to claim any compensation.

9. Miscellaneous.

9.1 Amendment to the General Terms.

The Company reserves the right to amend these General Terms at any time.  It is therefore recommended that the Influencer regularly reviews the General Terms and Conditions.

Any amendment, termination or waiver of any clause hereunder shall only be valid if formalized in a written agreement signed by the parties.

9.2 Assignment.

The Influencer may not assign or transfer any of its rights and obligations hereunder without the Company’s prior written consent.

 

9.3 Severability.

If any provision of this Agreement is held by a court of law to be illegal, invalid, or unenforceable, this shall not invalidate the whole General Terms of some of their other provisions and this shall not affect the performance of the parties’ undertakings hereunder.

9.4 No waiver.

Either party’s failure to claim any of the rights granted pursuant to a clause herein or to demand strict performance of a clause shall not be construed as waiver thereof for the future.

9.5 Governing law – language - disputes.

These General Terms are governed by French law and drafted in French.  Should they be translated in one or several other languages, only the French version shall be binding in case of a dispute.

Any dispute which may arise in relation with the execution, interpretation or performance of these General Terms shall be brought exclusively before the Paris courts, notwithstanding the fact that there may be several defendants or the introduction of third parties.
